Terms of Service

These Terms of Service ("Terms") are an agreement between you and Dudley Development, LLC ("we," "us") for Dudley Catalog Prep and its MCP server at mcp.dudleyapps.com (the "Service"). By connecting the Service to an AI assistant or otherwise using it, you agree to these Terms. If you use the Service for a business, you agree on behalf of that business and confirm you can bind it. If you do not agree, do not use the Service.
What the Service does
The Service reads a supplier catalog file and a store import template that you provide and prepares an import file, plus a list of every field it could not fill in with confidence. It only prepares files. It never sends anything to your store or any other system, and it never makes up a value it cannot find in your files, such as a price, SKU, hazmat flag, or certification.
Prototype for sample data
The Service is currently a free prototype offered for evaluation with sample data. Do not upload real customer, personal, or confidential business data. Features, limits, and availability may change, and we may suspend or end the prototype at any time.
You review before you use
Results can be incomplete or wrong. You are responsible for reviewing every result before you import it into a store or rely on it, and for filling in the fields the Service lists as unresolved. Nothing the Service produces is published or applied anywhere without your own action.
Your files
You keep all rights to the files you upload and to the results produced from them. You give us a limited permission to store and process them only to provide the Service to you. You confirm that you have the right to upload each file. How we handle your files is described in theCatalog Prep privacy policy.
Your account and assistants
You are responsible for activity under your account, including actions an AI assistant takes on your behalf after you connect it. Keep your sign-in secure. You can disconnect every assistant at any time from the disconnect page. Your use of an assistant such as ChatGPT, Claude, Grok, or Meta Muse is governed by that provider's own terms, and we are not responsible for those services.
Acceptable use
You agree not to:
- upload anything unlawful, or files you have no right to use;
- try to access another account's jobs or files, or get around sign-in, permissions, rate limits, or the deletion approval;
- overload, disrupt, probe, or attack the Service, except through a security report to us;
- resell or provide the Service to others without our written permission.
Fees
The prototype is free. If we introduce paid plans, we will tell you before any charge applies, and paid features will have their own terms.
Suspension and termination
You can stop using the Service at any time and delete your jobs. We may suspend or end your access if you break these Terms, if needed to protect the Service or other users, or when the prototype ends.
Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that results will be accurate or complete.
Limitation of liability
To the fullest extent permitted by law, Dudley Development, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to one hundred U.S. dollars (US$100).
Governing law
These Terms are governed by the laws of the State of Colorado, without regard to its conflict of laws rules.
Changes
We may update these Terms. The new version will be posted at this URL with an updated date above, and continued use of the Service after a change means you accept it.
